General Terms and Conditions

1. Scope of Application

1.1 These General Terms and Conditions apply to all offers, sales, purchases, brokerage transactions, deliveries, commission transactions, auctions, online orders, repairs, services and other legal transactions of Pax Manufacturing AG with customers, suppliers, sellers, buyers, resellers, authorities, collectors, sport shooters, hunters and other business partners in Switzerland and abroad.

1.2 Pax Manufacturing AG is a company domiciled in Switzerland active in the field of manufacturing, trading, importing, exporting, brokering, repairing and processing weapons, firearm accessories, ammunition, components and related products. All activities are carried out exclusively in accordance with the applicable legal provisions, including Swiss weapons law, customs law, goods control law, war material law, data protection law, sanctions law and the applicable foreign import, export, transit, re-export, weapons, customs and sanctions regulations.

1.3 Any deviating, conflicting or supplementary terms and conditions of the customer or business partner shall apply only if Pax Manufacturing AG expressly agrees to them in writing.

1.4 These General Terms and Conditions apply both to consumers and to businesses, unless mandatory statutory provisions or mandatory consumer protection provisions provide otherwise.

2. Definitions

2.1 “Goods” means, in particular, weapons, firearms, essential firearm components, specially designed firearm components, firearm accessories, ammunition, ammunition components, optics, spare parts, collectors’ items, knives, historical weapons, sport and hunting equipment and other items offered, sold, purchased, brokered, manufactured, processed, imported or exported by Pax Manufacturing AG.

2.2 “Controlled Goods” means all goods, technology, software, documents, components or services whose acquisition, possession, transfer, import, export, transit, brokerage, transport, technical assistance, re-export or end use is subject to a licence, reporting obligation, restriction or prohibition.

2.3 “Customer” means any person or organisation that purchases or intends to purchase goods or services from Pax Manufacturing AG or enters into contractual negotiations with Pax Manufacturing AG.

2.4 “Business Partner” means any person or organisation from whom Pax Manufacturing AG purchases goods or to whom Pax Manufacturing AG sells, brokers, ships, repairs, processes or otherwise transfers goods.

3. Licensing and Compliance Reservation

3.1 All offers, orders, contracts, deliveries, exports, imports, transits, brokerage activities and services are expressly subject to legal admissibility and the full granting of all required licences, permits, approvals, clearances, end-use declarations, import certificates, export licences, special authorisations, firearm acquisition permits, trade licences, customs clearances and other official approvals.

3.2 A contract for Controlled Goods is concluded only once Pax Manufacturing AG has expressly confirmed the order and completed its internal compliance review. An automatic order confirmation, online shop checkout or payment request does not constitute final acceptance of the order.

3.3 Pax Manufacturing AG is entitled, without liability for damages, to reject, suspend or withdraw from any order, delivery, acceptance, repair, processing, brokerage activity or other service if:

  1. licences are missing, revoked, expired or made subject to conditions;
  2. there are doubts regarding identity, authorisation, creditworthiness, end use, end user, origin or legality;
  3. sanctions, embargo, export control, import control, re-export or customs risks exist;
  4. the customer provides incomplete, incorrect or misleading information;
  5. performance of the transaction would breach internal compliance policies of Pax Manufacturing AG;
  6. the goods are not available or the supplier is unable to deliver lawfully;
  7. there is a risk that goods may reach unauthorised end users, prohibited countries or be used for prohibited purposes.

3.4 The customer acknowledges that Pax Manufacturing AG has no obligation to carry out a transaction merely because an order has been placed, a payment has been made or an enquiry has been acknowledged.

4. Customer Due Diligence, Identity and Acquisition Authorisation

4.1 The customer is obliged to provide Pax Manufacturing AG, upon first request, with all information and documents required to review the transaction, in a complete, accurate, up-to-date and legible form. Such documents include, in particular:

  1. valid identity documents;
  2. proof of residence or registered office;
  3. commercial register extracts;
  4. information on beneficial owners;
  5. firearm acquisition permits, special authorisations, acquisition authorisations, collectors’, hunting or sport shooting certificates;
  6. import permits, end-use declarations, end-use certificates and re-export undertakings;
  7. powers of attorney and official confirmations;
  8. information on destination country, transit countries, end user and end use.

4.2 The customer represents and warrants that it is authorised to acquire, possess, import, export, transport, receive, store and use the ordered goods and that there are no legal, official or contractual impediments.

4.3 Minors, persons without the required authorisation, persons subject to acquisition prohibitions, sanctioned persons, prohibited end users and persons where indications of self-endangerment or endangerment of others, misuse, straw purchases, circumvention transactions or unlawful onward transfer exist will not be supplied.

4.4 Pax Manufacturing AG may require the submission of original documents, certified copies, translations or additional confirmations. Until the review has been completed in full, all delivery and performance obligations are suspended.

5. End Use, End User and Onward Transfer

5.1 The customer undertakes to acquire and use the goods exclusively for the stated lawful purpose.

5.2 The customer may not pass on, sell, lend, pledge, export, re-export, broker, transfer or otherwise make available goods to third parties if required licences are missing or if such onward transfer is prohibited under applicable law.

5.3 The customer undertakes not to transfer goods to persons, organisations, countries or territories subject to sanctions, embargoes, arms prohibitions, terrorism-related restrictions, war-related restrictions, human rights restrictions, end-use restrictions or re-export restrictions.

5.4 Pax Manufacturing AG may require an end-use declaration, re-export undertaking, non-transfer undertaking or other compliance declaration for certain goods. Without such documents, there is no entitlement to delivery.

6. Import, Export, Transit and Foreign Regulations

6.1 The customer is solely responsible for complying with all regulations of the destination, transit, origin and re-export countries, unless Pax Manufacturing AG is mandatorily responsible for compliance.

6.2 For international orders, the customer must demonstrate before conclusion of the contract that import into the destination country, possession, storage and use of the goods are lawful in that country.

6.3 For exports from Switzerland, no delivery shall be made before all required Swiss and foreign licences, end-use documents, import certificates and customs documents have been provided and accepted by Pax Manufacturing AG.

6.4 For imports into Switzerland, no order, shipment or acceptance of the goods shall take place before the required Swiss licences and documents have been provided.

6.5 The customer bears all costs, fees, charges, taxes, customs duties, storage fees, inspection costs, return shipping costs, destruction costs, delay costs and other expenses arising from missing, late, incorrect or incomplete licences or documents.

6.6 Pax Manufacturing AG shall not be liable for delays, seizures, blockings, refusals, confiscations, destructions, criminal complaints or other measures by customs, police, export control, sanctions or weapons authorities, unless caused by wilful misconduct or gross negligence of Pax Manufacturing AG.

7. Sanctions, Embargo and Anti-Circumvention Prohibition

7.1 Pax Manufacturing AG does not conduct any transactions that violate or could circumvent Swiss, foreign or international sanctions, embargoes, arms prohibitions, export controls or re-export regulations.

7.2 The customer represents and warrants that neither the customer nor any affiliated companies, beneficial owners, end users, recipients, intermediaries, freight forwarders or other involved parties are listed on a relevant sanctions list or located in a sanctioned country or territory, insofar as this prohibits or restricts the transaction.

7.3 The customer undertakes to inform Pax Manufacturing AG immediately in writing of any changes relating to end user, end use, destination country, transit country, ownership structure, sanctions or licences.

7.4 In the event of suspected circumvention, Pax Manufacturing AG is entitled, to the extent permitted by law, to reject or suspend the transaction, inform authorities and retain goods or payments already received until clarification.

8. Offers, Prices and Conclusion of Contract

8.1 Offers by Pax Manufacturing AG are non-binding and subject to change unless expressly designated as binding.

8.2 Unless otherwise stated, prices are quoted in Swiss francs, excluding VAT, shipping, packaging, insurance, customs duties, charges, licence fees, bank fees, inspection costs and other ancillary costs.

8.3 Price changes, errors, typographical mistakes, changes in availability, technical changes and prior sale remain reserved.

8.4 The contract is concluded only upon express written order confirmation by Pax Manufacturing AG. For Controlled Goods, the contract is additionally subject to the suspensive condition of full licensing and compliance clearance.

8.5 Pax Manufacturing AG may make partial deliveries, substitute deliveries or changes to delivery dates, provided this is reasonable for the customer and legally permissible.

9. Payment

9.1 Payments are due in accordance with the invoice, order confirmation or individual agreement.

9.2 Pax Manufacturing AG may require advance payment, down payment, security, proof of payment or a letter of credit.

9.3 In the event of late payment, Pax Manufacturing AG is entitled to stop deliveries, suspend licensing and clarification work, charge default interest, reminder fees and collection costs and withdraw from the contract after setting an appropriate deadline.

9.4 Third-party payments are accepted only if the origin, purpose and allocation of the payment are plausible and legally permissible. Pax Manufacturing AG may reject third-party payments without stating reasons.

9.5 Refunds are generally made to the original payment method or account. Pax Manufacturing AG may request additional proof of identity and authorisation.

10. Delivery, Handover and Transfer of Risk

10.1 Delivery dates are non-binding unless expressly confirmed in writing as binding.

10.2 Delivery and handover are made only to authorised persons and only after all required documents have been fully reviewed.

10.3 Pax Manufacturing AG determines the shipping method, packaging, carrier and insurance at its own discretion unless otherwise agreed in writing.

10.4 For international deliveries, the agreed Incoterms apply. In the absence of an agreement, Pax Manufacturing AG determines the delivery terms within the limits of legal admissibility.

10.5 Benefit and risk pass to the customer as soon as the goods are handed over to the customer, an authorised representative, an approved carrier or a competent authority, unless mandatory law provides otherwise.

10.6 Delays due to licensing review, official procedures, customs clearance, sanctions screening, transport restrictions, dangerous goods regulations, force majeure or lack of customer cooperation do not entitle the customer to damages.

11. Collection at the Premises

11.1 When collecting goods at the premises, the customer must present valid identity documents and all required licences in original form.

11.2 Pax Manufacturing AG is entitled to refuse handover if there are doubts regarding identity, authorisation, completeness of documents, transport authorisation or lawful use.

11.3 The customer is responsible for lawful transport from the time of handover.

12. Purchase, Commission Sales and Trade-In

12.1 The seller represents and warrants that the seller is the lawful owner of the offered goods, is free to dispose of them and that the goods are not stolen, pledged, seized, encumbered, illegally imported, illegally modified or otherwise unlawful.

12.2 The seller is obliged to provide Pax Manufacturing AG with all information and documents required for purchase, commission sale, import, export, valuation, registration and compliance review.

12.3 Pax Manufacturing AG may reject any purchase, commission sale or trade-in at any time, in particular in the event of unclear origin, missing documents, technical modifications, prohibited configuration, suspicion of criminal conduct, export control risks or lack of marketability.

12.4 In commission transactions, the seller remains the owner of the goods until they have been lawfully sold and transferred, unless otherwise agreed in writing.

12.5 Commission, minimum price, costs, storage, insurance, return and settlement terms are agreed individually. In the absence of a special agreement, the current terms of Pax Manufacturing AG apply.

13. Inspection, Condition and Used Goods

13.1 Used, historical, antique or collectors’ goods are generally sold in the condition in which they are at the time the contract is concluded.

13.2 Condition descriptions, photographs, technical information, years of manufacture, numbers, information on originality, provenance and valuations are provided to the best of knowledge but do not constitute a guarantee unless expressly designated in writing as a guarantee.

13.3 The customer is obliged to inspect the goods immediately upon receipt and to notify obvious defects in writing within 5 working days. Hidden defects must be reported immediately after discovery.

13.4 Any use, modification, disassembly, repair, test firing, reworking, manipulation, onward transfer or improper storage after receipt may exclude or limit warranty claims to the extent permitted by law.

14. Warranty and Guarantee

14.1 For new goods, statutory warranty rights apply unless lawfully agreed otherwise.

14.2 For used, historical, antique, commissioned goods or goods expressly sold as defective, hobbyist items, parts donors or collectors’ items, warranty is excluded to the extent permitted by law.

14.3 Guarantees exist only if expressly given in writing. Manufacturer warranties are governed exclusively by the terms of the respective manufacturer.

14.4 In the event of justified defects, Pax Manufacturing AG may, at its own discretion, offer repair, replacement delivery, price reduction or rescission, unless mandatory law provides otherwise.

14.5 Warranty is excluded for damage caused by improper use, incorrect ammunition, reloaded ammunition, modifications, insufficient maintenance, corrosion, normal wear and tear, unauthorised repairs, failure to observe safety regulations or unlawful use.

15. Returns, Exchanges and Cancellation

15.1 A general right of return, exchange or withdrawal exists only if expressly agreed in writing or mandatorily required by law.

15.2 Orders for Controlled Goods may be cancelled after the start of compliance, licensing, import, export, transport or procurement clarifications only with the consent of Pax Manufacturing AG.

15.3 In the event of cancellation by the customer, Pax Manufacturing AG may charge costs already incurred, licence fees, inspection costs, transport costs, bank fees, storage costs, loss in value and administrative expenses.

15.4 Returns of weapons, ammunition, Controlled Goods or dangerous goods may be made only with the prior written consent of Pax Manufacturing AG and only in compliance with all licensing, transport, customs and safety regulations.

15.5 Freight collect, unannounced or unlawful returns may be refused, stored, reported to authorities or returned at the customer’s expense.

16. Safety, Storage and Use

16.1 From handover, the customer is solely responsible for safe storage, transport, use, maintenance and compliance with all safety and legal regulations.

16.2 The customer undertakes to protect weapons, ammunition and Controlled Goods from access by unauthorised third parties.

16.3 Pax Manufacturing AG assumes no liability for damage caused by improper storage, handling, use, cleaning, ammunition, reloaded ammunition, modifications or failure to observe safety rules.

16.4 Pax Manufacturing AG does not provide advice on unlawful use, circumvention of regulations, manufacture of illegal weapons, manipulation of serial numbers or other prohibited acts.

17. Repairs, Modifications and Services

17.1 Repairs, modifications, adjustments, proof testing, technical work and other services are performed only to the extent legally permissible and technically reasonable.

17.2 Pax Manufacturing AG may refuse to accept or perform work if the goods have been unlawfully modified, are unsafe, have unclear origin, lack required licences or pose a compliance risk.

17.3 Cost estimates are non-binding unless expressly agreed otherwise in writing. If additional work proves necessary, Pax Manufacturing AG will inform the customer in advance where possible.

17.4 Goods not collected may, after written reminder and an appropriate deadline, be stored, realised or handed over to the competent authorities at the customer’s expense, to the extent permitted by law.

18. Documentation, Registers and Authority Disclosures

18.1 Pax Manufacturing AG is entitled and obliged to maintain and retain legally required registers, control books, transaction documents, licensing documents, export control documents, customs documents and other evidence.

18.2 The customer acknowledges that Pax Manufacturing AG may or must disclose information to competent authorities, customs offices, police, weapons, export control, sanctions or criminal prosecution authorities if there is a legal obligation or justified suspicion.

18.3 The customer has no claim that Pax Manufacturing AG keep a transaction confidential if statutory reporting, disclosure, retention or cooperation obligations exist.

19. Data Protection

19.1 Pax Manufacturing AG processes personal data for the performance of contracts, customer due diligence, licensing procedures, export control, sanctions screening, payment processing, delivery, accounting, security, legal enforcement and fulfilment of statutory obligations.

19.2 Processed data may include, in particular, identity data, contact data, payment data, licensing data, criminal record or authority extracts, acquisition certificates, end-use documents, communication data, transaction data and technical usage data.

19.3 Processing is carried out in accordance with applicable data protection law. Further details are set out in the privacy policy of Pax Manufacturing AG.

19.4 The customer acknowledges that, for international transactions, data may be transferred to authorities, banks, payment service providers, carriers, insurers, suppliers, IT service providers, advisers and foreign entities, insofar as this is necessary for the transaction, compliance review or statutory obligations.

20. Intellectual Property

20.1 Content, images, texts, product descriptions, logos, documentation, databases, online shop content and other materials of Pax Manufacturing AG are protected by copyright, trademark and unfair competition law.

20.2 Any use, reproduction, editing, publication or disclosure is permitted only with the prior written consent of Pax Manufacturing AG.

21. Liability

21.1 Pax Manufacturing AG is fully liable for direct damage caused intentionally or by gross negligence and for damage for which limitation of liability is prohibited by law.

21.2 Otherwise, the liability of Pax Manufacturing AG is excluded to the extent permitted by law, in particular for indirect damage, consequential damage, loss of profit, production downtime, reputational damage, loss of data, official measures, delivery delays, customs issues, licence refusals, sanctions consequences, transport delays and damage arising from unlawful or improper use of the goods.

21.3 Liability for auxiliary persons is excluded to the extent permitted by law.

21.4 The customer shall indemnify Pax Manufacturing AG against claims by third parties arising from incorrect information, missing licences, unlawful use, prohibited onward transfer, sanctions violations, export control violations, customs violations or other breaches of duty by the customer.

22. Force Majeure

22.1 Pax Manufacturing AG shall not be liable for non-performance or delay due to events outside its reasonable control. Such events include, in particular, official measures, licensing delays, embargoes, sanctions, war, unrest, border closures, transport disruptions, supplier failures, cyberattacks, power outages, natural events, pandemics, strikes or force majeure.

22.2 If such an event lasts longer than 90 days, either party may withdraw from the affected contract if performance thereby becomes impossible or unreasonable.

23. Set-Off and Retention

23.1 The customer may set off claims only against undisputed or finally adjudicated counterclaims.

23.2 Pax Manufacturing AG is entitled to retain goods, documents, payments or services as long as outstanding claims exist, documents are missing or compliance risks remain unresolved.

24. Assignment

24.1 The customer may assign or transfer rights or obligations under contracts with Pax Manufacturing AG only with the prior written consent of Pax Manufacturing AG.

24.2 Pax Manufacturing AG may assign claims to third parties for collection, financing or restructuring purposes to the extent permitted by law.

25. Electronic Communication

25.1 The parties may communicate by e-mail, online shop, electronic signature service or other electronic means of communication.

25.2 The customer bears the risk of incorrect, outdated or unreachable contact details.

25.3 Legally relevant declarations by Pax Manufacturing AG are deemed received when sent to the last address or e-mail address provided by the customer, unless mandatory law provides otherwise.

26. Amendments to these General Terms and Conditions

26.1 Pax Manufacturing AG may amend these General Terms and Conditions at any time. For contracts already concluded, the version valid at the time of conclusion of the contract applies, unless mandatory statutory changes require an adjustment.

26.2 The current version is published on the website of Pax Manufacturing AG or provided to the customer upon request.

27. Severability

27.1 If any provision of these General Terms and Conditions is or becomes wholly or partially invalid, void or unenforceable, the validity of the remaining provisions shall remain unaffected.

27.2 The invalid provision shall be replaced by a legally permissible provision that comes as close as possible to the economic purpose of the invalid provision.

28. Applicable Law

28.1 Substantive Swiss law applies, excluding conflict-of-law rules and excluding the United Nations Convention on Contracts for the International Sale of Goods, to the extent such exclusion is legally permissible.

28.2 Mandatory consumer protection, import, export, weapons, sanctions, customs or safety provisions of other countries remain reserved insofar as they are mandatorily applicable.

29. Place of Jurisdiction

29.1 The exclusive place of jurisdiction for disputes arising out of or in connection with these General Terms and Conditions and the contracts with Pax Manufacturing AG is Dietikon, Canton of Zurich, Switzerland, unless a mandatory statutory place of jurisdiction takes precedence.

29.2 Pax Manufacturing AG is entitled to bring proceedings against the customer also at the customer’s domicile, registered office or any other legally permissible place of jurisdiction.

30. Language Versions

30.1 These General Terms and Conditions may be provided in German, English or other language versions.

30.2 In the event of contradictions, interpretation issues or discrepancies between different language versions, the German version shall prevail unless the parties expressly agree otherwise in writing.
